1. Introduction

These Terms of Service (“Terms”) govern your use of the Closare platform and services (“Service”) operated by Closare (“we”, “us”, “our”).

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Closare provides an AI-powered phone call handling platform that enables businesses to automate incoming phone calls using voice AI agents. The Service includes:

  • AI voice agents that answer phone calls on your behalf
  • Call transcription and summarization
  • Industry-specific templates
  • Call analytics and lead extraction
  • Integration with calendars and other tools

3. Account Registration

To use the Service, you must:

  • Create an account with a valid email address
  • Provide accurate and complete information
  • Be at least 18 years old or have the legal capacity to enter into contracts
  • Keep your password secure and confidential

You are responsible for all activities that occur under your account. Notify us immediately if you suspect unauthorized access to your account.

4. Free Trial

We offer a 7-day free trial for all plans. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

5. Plans and Pricing

The Service is offered through subscription plans (Starter, Business, and Pro) with different features and limits. Current pricing is displayed on our website and may be updated from time to time.

  • Subscriptions are billed monthly
  • You may upgrade or downgrade your plan at any time
  • We will notify you at least 30 days in advance of any price changes
  • Unused minutes do not carry over to the next billing period

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Impersonate any person or entity
  • Engage in spam, fraud, or deceptive practices
  • Harass, threaten, or harm others
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service for any purpose that is misleading about the use of AI (callers must be informed they are speaking with an AI agent)
  • Process sensitive personal data categories without proper legal basis

We reserve the right to suspend or terminate accounts that violate these terms.

7. AI Transparency

In compliance with the EU AI Act, you agree that when using our AI agents:

  • Callers will be informed they are interacting with an AI system
  • You will not modify or disable AI disclosure mechanisms
  • You are responsible for configuring your agents in accordance with applicable regulations

8. Your Content and Data

You retain ownership of all content and data you provide to the Service, including agent configurations, prompts, and business information (“Your Content”).

You grant us a limited license to use Your Content solely for the purpose of providing and improving the Service. We will not use Your Content for any other purpose without your explicit consent.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance or updates that temporarily affect availability. We will provide reasonable notice of planned downtime when possible.

10. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “as is” without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages arising from your use of the Service
  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not responsible for the accuracy of AI-generated content, including call summaries and transcriptions

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms.

Upon termination:

  • Your access to the Service will cease immediately
  • Your data will be retained for 30 days, after which it will be permanently deleted
  • You may request an export of your data before deletion

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the platform. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the European Union and the applicable national laws. Any disputes will be resolved in the competent courts of the data controller's jurisdiction.
